Terms & Conditions

By accessing or using the AutoQC platform and related services (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms form a legally binding agreement between you and AutoQC GmbH (“AutoQC”, “we”, “us”, or “our”), a company incorporated and registered in Germany.

If you are using the Service on behalf of an organisation or legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to both you individually and that entity.

If you do not agree to these Terms, you must not access or use the Service.

AutoQC provides an automated video quality control platform that enables users to upload video files, perform AI-powered quality analysis — including detection of black frames, freeze frames, border issues, audio loudness errors, subtitle recognition, and platform compliance — and generate professional quality reports.

The Service is currently in Minimum Viable Product (MVP) phase. Features, availability, performance targets, and pricing are subject to change. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable prior notice where practicable.

To access the Service, you must create an account by providing a valid email address and choosing a secure password. You are solely responsible for:

• —Maintaining the confidentiality of your login credentials
• —All activity that occurs under your account
• —Notifying us immediately at privacy@autoqc.app of any suspected unauthorised access
• —Ensuring all registration information is accurate, current, and complete

You must be at least 16 years of age to create an account. By registering, you confirm you meet this requirement. We reserve the right to suspend or terminate accounts found to be in violation of this requirement.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• —Upload content that infringes any third party's intellectual property, privacy, or other legal rights
• —Upload or transmit unlawful, harmful, defamatory, obscene, or otherwise objectionable material
• —Attempt to gain unauthorised access to the Service, other user accounts, or our infrastructure
• —Use automated tools, bots, or scripts to access the Service in a manner that places unreasonable load on our systems
• —Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• —Introduce malware, viruses, Trojan horses, or other malicious code
• —Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent
• —Use the Service in any way that violates applicable local, national, or international law or regulation

Violation of this section may result in immediate suspension or termination of your account without notice and without prejudice to any other legal remedies available to AutoQC.

You retain full ownership of all video files, data, and other content you upload to the Service (“User Content”). By uploading User Content, you grant AutoQC a limited, non-exclusive, royalty-free, worldwide licence to process, store, and transmit your User Content solely to the extent necessary to provide the Service to you.

This licence terminates when you delete the User Content or your account, subject to applicable retention obligations set out in our Privacy Policy.

You represent and warrant that: (a) you own or have the necessary rights to upload your User Content; (b) your User Content does not infringe any third party's rights; and (c) uploading and processing your User Content complies with all applicable laws.

AutoQC does not use your User Content to train AI or machine learning models, and does not share it with third parties except as required to deliver the Service.

The AutoQC platform — including its software, algorithms, architecture, design, brand, trademarks, and documentation — is the exclusive intellectual property of AutoQC GmbH or its licensors. All rights not expressly granted in these Terms are reserved.

Subject to your compliance with these Terms, AutoQC grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your own internal business or personal purposes during the term of these Terms.

Nothing in these Terms transfers any intellectual property rights to you. You may not use AutoQC's trademarks, logos, or brand assets without our prior written consent.

AutoQC may offer paid subscription plans. Payment processing is handled exclusively by Stripe, Inc. By subscribing to a paid plan, you authorise AutoQC to charge your designated payment method on a recurring basis in accordance with the selected plan.

All prices are stated exclusive of applicable taxes (including VAT) unless otherwise indicated. You are responsible for all applicable taxes in your jurisdiction. AutoQC will issue invoices as required by applicable law.

Subscription fees are non-refundable except as required by mandatory consumer protection law in your jurisdiction or as expressly stated in our refund policy. To request a refund or query a billing charge, contact privacy@autoqc.app.

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

AutoQC does not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) analysis results will be complete, accurate, or suitable for any specific professional purpose. Quality analysis outputs are provided for informational assistance and should be reviewed by qualified professionals before use in critical broadcast or distribution workflows.

To the maximum extent permitted by applicable law, AutoQC GmbH, its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profit, revenue, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Where liability cannot be fully excluded by law, AutoQC's total aggregate liability to you for claims arising under these Terms shall not exceed the total fees paid by you to AutoQC in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for: death or personal injury caused by AutoQC's negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under German law or mandatory EU consumer protection regulations.

You may terminate your account at any time by contacting privacy@autoqc.app. We will process your deletion request and handle your data in accordance with our Privacy Policy.

AutoQC may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, if required by applicable law or court order, or if we decide to discontinue all or part of the Service. Upon termination for any reason, your licence to use the Service ceases immediately.

Provisions of these Terms that by their nature should survive termination shall do so, including Sections 5 (User Content), 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law).

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG). Subject to mandatory consumer protection provisions, the courts of Germany shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

If you are a consumer resident in the European Union, you also benefit from any mandatory consumer protection provisions of the law of your country of habitual residence that cannot be derogated from by agreement.

For EU consumers, the European Commission provides an Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. AutoQC's contact email for ODR purposes: privacy@autoqc.app.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AutoQC with respect to the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.

Waiver: Failure by AutoQC to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer any rights under these Terms without AutoQC's prior written consent. AutoQC may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
